Alpha Modus Holdings plans to add 3,170 Bitcoin, valued at $71,000 each, to its balance sheet in a transaction worth more than $200 million, the Nasdaq-listed company said Thursday.
"We considered pursuing this strategy when Bitcoin was near record highs, and decided that timing was not optimal," William Alessi, chief executive officer of Alpha Modus, said. "Today, we have an opportunity to add more than $200 million in Bitcoin assets to our balance sheet, materially strengthen shareholder equity and address our outstanding Nasdaq listing deficiency."
The deal would more than double the asset base of Alpha Modus, a pre-revenue artificial intelligence company with a market capitalization near $19 million. The company explored a similar transaction in May 2025 but declined to proceed while Bitcoin traded near record price levels. Management said the current opportunity offers a more compelling combination of valuation, timing and balance-sheet impact.
The transaction is subject to completion, applicable accounting treatment and Nasdaq's determination on continued listing compliance. Alpha Modus said it will continue operating across its artificial intelligence, intellectual property and financial technology businesses, supported by what management expects would be a substantially strengthened balance sheet.
A treasury bet that dwarfs the company
Alpha Modus' proposed Bitcoin holdings would represent more than ten times its current market value, a scale that raises questions about the company's financial stability even as it seeks to resolve its outstanding Nasdaq market capitalization and shareholder equity deficiency. Management said the transaction should be evaluated based on the value of the Bitcoin assets being added relative to the consideration issued, rather than the issuance of securities in isolation.
The move follows a broader trend of publicly traded companies adopting Bitcoin as a treasury reserve asset, a strategy popularized by MicroStrategy and since emulated by firms including Semler Scientific and Metaplanet. For Alpha Modus, the timing coincides with Bitcoin again drawing attention across public markets after the asset's pullback from record levels.
The company cautioned that the outcome depends on the transaction closing, the accounting treatment applied and Nasdaq's determination regarding continued listing compliance. Alpha Modus did not disclose the counterparty or the consideration to be issued in the transaction.
