BSF Enterprise shares jumped 56.5% to 1.33p Monday after the tissue engineering company agreed a 50/50 joint venture with US brand operator IMPOSTER to sell lab-grown leather into the American luxury market.
"Partnering with IMPOSTER gives us an immediate, funded platform to showcase T-Rex Leather directly to high-net-worth individuals and luxury buyers at events like the Hampton Classic and New York Fashion Week — without committing BSF cash capital," Che Connon, chief executive at BSF Enterprise, said.
The London-listed group signed non-binding heads of terms with IMPOSTER, a US ethical luxury brand operator whose products have previously sold through Barneys New York, Neiman Marcus, Saks Fifth Avenue and Nordstrom, and have been worn by Sarah Jessica Parker, Sandra Bullock and Anne Hathaway. BSF contributes technology licensing and material supply access but zero cash, while IMPOSTER is expected to provide $500,000 to $1 million in ring-fenced operational funding drawn from a planned $3.5 million growth capital raise. Full commercial exclusivity for the venture activates only once that funding arrives.
The venture will focus exclusively on small luxury items — bag charms, keyrings, desk accessories, equestrian goods and a limited run of bespoke handbags and wallets. That narrow scope is deliberate: BSF retains 100 percent ownership of all patents, scaffold workflows and cellular technology, plus every commercial right in higher-volume categories including mainline footwear, apparel, automotive interiors and mass-market handbags. The company said it wants to preserve freedom to strike its own deals with global luxury houses.
BSF targets three revenue streams from the arrangement: a gross margin of 25 to 35 percent on raw T-Rex Leather material transfers, an ingredient royalty of 3 to 7 percent on net sales, and a 50 percent share of downstream joint venture profits. All finished goods will carry the hallmark "Crafted with T-Rex Leather" to build brand equity in North America.
The agreement establishes a two-phase rollout. Phase 1 grants the joint venture a targeted marketing and event license to deploy T-Rex Leather showcase items at major US luxury activations starting in August 2026, targeting ultra-high-net-worth consumers, equestrian lifestyle markets and ethical luxury buyers. Phase 2, which triggers full commercial category exclusivity, activates upon IMPOSTER closing its broader growth financing and transferring dedicated ring-fenced operational funding into the joint venture.
An immediate marketing phase begins this month, with showcase products appearing at the Hampton Classic Horse Show in August, New York Fashion Week in September and the Humane World Gala in November. The venture will be led by Jaclyn Sharp, founder of IMPOSTER, as chief executive, with Valerie Angeli overseeing US operations and event strategy and Simon Whitehouse serving as strategic luxury adviser. Humane World for Animals, the nation's largest animal protection organization, has described IMPOSTER as "a serious game-changer for animals and the fashion industry."
BSF's broader portfolio extends beyond leather. The company develops tissue-engineered solutions including cultivated meat and corneal repair technologies through its proprietary scaffold-free ATEP platform. The joint venture with IMPOSTER represents the first commercial deployment of T-Rex Leather in the US market, and the company's decision to limit the venture's scope to luxury accessories preserves its ability to pursue larger partnerships with global fashion and automotive brands across its primary categories.
The deal remains subject to mutual due diligence, execution of definitive binding documentation, satisfaction of funding conditions precedent and customary board and regulatory approvals. The non-binding nature of the heads of terms introduces execution risk, but successful commercialization would give BSF a funded foothold in the North American luxury market without diluting its focus on core technology scaling.
