NFE Cedes Brazilian Operations to $20T Investor Consortium

New Fortress Energy (NASDAQ: NFE) initiated a significant corporate restructuring on March 17, 2026, announcing the separation of its Brazilian operations into a standalone platform named BrazilCo. The move is a key component of a broader recapitalization transaction for NFE, which will be implemented through a consensual UK Restructuring Plan. Upon completion, which is anticipated in mid-2026, BrazilCo will be owned by a consortium of global institutional investors managing over $20 trillion in assets. This strategic separation aims to create a well-capitalized entity focused on Brazil's energy infrastructure while allowing NFE to restructure its own balance sheet.

BrazilCo to Advance 1.6 GW Power Plant and TGS Terminal

The newly independent BrazilCo will retain its existing Brazil-based executive leadership to ensure operational continuity and project execution. The company's primary focus will be on advancing its portfolio of key strategic assets. These include the Barcarena Cluster, which features the 624 MW CELBA 2 and the 1.6 GW PortoCem power plants, both supplied by a 5.9 MTPA LNG terminal. Additionally, BrazilCo will work to realize the potential of its Terminal de Gás Sul (TGS) in Santa Catarina, a critical infrastructure asset for southern Brazil. The company will continue to source gas from NFE during the transition period while it secures its own standalone supply agreements.
