The deal, funded by cash and debt, marks a significant investment to accelerate GE HealthCare's strategy in AI-enabled and cloud-based diagnostics. Intelerad's technology, including its IntelePACS and InteleOrchestrator platforms, provides tools for radiologists and clinicians to manage complex imaging workflows across hospitals, specialized clinics, and ambulatory care settings.

Deal to Add $270M in Revenue Despite Near-Term EPS Dilution
The acquisition is projected to be immediately accretive to GE HealthCare's revenue growth and profit margins. The company forecasts that Intelerad will generate approximately $270 million in revenue in the first full year, with a strong recurring revenue base making up 90% of that total. GE HealthCare also anticipates an adjusted EBITDA margin exceeding 30% from the new business. However, the company noted the transaction will be slightly dilutive to adjusted earnings per share (EPS) in the short term due to financing costs, which it plans to offset through cost efficiencies. The long-term target is a high-single-digit return on invested capital within five years.
Acquisition Expands GEHC into Ambulatory and Cloud Markets
This strategic purchase significantly expands GE HealthCare's reach from its traditional hospital base into the growing ambulatory care and specialized clinic markets. By integrating Intelerad's software, GE HealthCare aims to offer a comprehensive imaging ecosystem that connects different care settings. The move strengthens its portfolio of Software-as-a-Service (SaaS) offerings and is designed to improve clinical operations and provide more precise, connected care. Intelerad will operate within GE HealthCare's Imaging business, continuing to serve its existing customers in the U.S., Canada, the UK, and Oceania.
