Securitize Capital, a subsidiary of tokenization platform Securitize, registered with the US Securities and Exchange Commission as an investment adviser, the company said Monday.
"Becoming an SEC-registered investment adviser is an important step in the continued expansion of Securitize's platform," Carlos Domingo, co-founder and chief executive officer of Securitize, said.
The registration adds investment advisory to Securitize's existing regulated businesses, which include a broker-dealer, alternative trading system, transfer agent and fund administration services. Securitize Capital previously operated as an exempt reporting adviser and is now subject to additional disclosure, compliance and examination requirements under the Investment Advisers Act of 1940. The firm manages $4.8 billion in tokenized assets across funds from BlackRock, Apollo, KKR, VanEck and Hamilton Lane, making it the largest tokenization platform by onchain asset value.
The registration comes as regulators examine how existing securities rules apply to onchain investment products. SEC Commissioner Hester Peirce said July 22 that certain crypto vaults and lending strategies may fall under investment adviser regulations depending on their structure. Curated vaults now hold about $8.6 billion in assets, according to Vaults.fyi data. Securitize has already built infrastructure around tokenized vaults, including permissioned lending vaults with Euler that allow tokenized assets such as VanEck's VBILL fund to be used as collateral.
Securitize completed its public listing on the New York Stock Exchange on July 2 under the ticker SECZ after merging with Cantor Equity Partners II. Shares have fallen about 46% from their first-day closing price. The company partners with major asset managers including BlackRock, whose BUIDL tokenized money market fund it issues, and works with the NYSE to design infrastructure for tokenized securities trading.
The registration positions Securitize to deepen relationships with institutional investors exploring onchain investment strategies within regulated frameworks, as the tokenization market expands beyond decentralized finance into mainstream capital markets.
