Pomerantz LLP filed a class-action lawsuit against Nektar Therapeutics on May 7, 2026, after the company’s stock plunged 7.77% on disappointing clinical trial results.
"The Complaint alleges that, throughout the Class Period, Defendants made materially false and misleading statements regarding the Company’s business, operations, and compliance policies," the law firm said in a statement.
The lawsuit, filed in the Northern District of California, is on behalf of investors who bought Nektar securities between February 26, 2025, and December 15, 2025. The action follows Nektar's December 16, 2025 announcement that its Phase 2b REZOLVE-AA trial of rezpegaldesleukin in alopecia areata failed to achieve statistical significance. The company's stock price fell $4.14 per share to close at $49.16 that day.
The suit alleges Nektar failed to disclose that trial enrollment didn't follow protocol, overstating the trial's integrity and prospects. Nektar had attributed the failure to the inclusion of four patients who should not have been eligible. The deadline for investors to seek lead plaintiff status is July 6, 2026.
The core of the lawsuit centers on Nektar's lead product candidate, rezpegaldesleukin (REZPEG), and its development for treating severe autoimmune disorders like alopecia areata. Defendants are accused of violating Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. The legal action seeks to recover damages for investors who allegedly suffered losses due to the purported misrepresentations.
Another law firm, Glancy Prongay Wolke & Rotter LLP, has also issued a notice reminding investors of the July 6, 2026 deadline to file a lead plaintiff motion, highlighting similar allegations of overstated portfolio valuation and effectiveness of restructuring efforts.
The lawsuit introduces significant legal and financial uncertainty for Nektar, which could pressure its stock beyond the initial trial-related selloff. Investors will be watching for the company's formal response to the allegations and any motions filed by the July 6 deadline.
