ISS Recommends Against ProCap Merger, Citing Governance Flaws
Institutional Shareholder Services (ISS), an influential proxy advisory firm, has recommended that stockholders of ProCap Financial (NASDAQ: BRR) vote against the company's proposed merger with CFO Silvia, Inc. In a report issued ahead of the shareholder meeting, ISS stated its recommendation was based on the company's failure to provide adequate support for the target's valuation. The advisory firm also highlighted inherent conflicts of interest and numerous corporate governance deficiencies at ProCap, strengthening the case against the transaction.
ATG Capital Escalates Campaign After March 12 Letter
The negative ISS recommendation provides significant leverage to investment firm ATG Capital, a ProCap stockholder that has been publicly campaigning against the deal. On March 26, 2026, ATG issued a statement applauding the ISS report, reiterating its view that the merger is a “stockholder-dilutive” and “apparent self-enriching transaction.” ATG's opposition began with a public letter to the board on March 12, arguing the digital asset treasury company has persistently traded at a significant discount to its net asset value while its board pursues a flawed deal. The firm also noted that since it began raising concerns, ProCap CEO Anthony Pompliano has blocked ATG Capital on Twitter, an act the investor questioned as a potential Regulation FD violation, since the company designates the CEO's account for sharing corporate information.
Merger Falters, Setting Stage for Proxy Fight
With both a key shareholder and a major proxy advisor now in opposition, the merger between ProCap and CFO Silvia faces a high probability of failure. The pushback sets the stage for a potential proxy battle over the company's future strategy and board composition. ATG Capital is calling on the board to immediately halt the merger and initiate a corporate governance overhaul. The firm's demands include improving transparency around its treasury strategy and appointing independent, significant stockholders to the board to ensure interests are aligned with all investors.
