HireQuest Inc. (NASDAQ:HQI) submitted a new proposal to TrueBlue Inc.'s (NYSE:TBI) board to acquire its on-demand staffing business for $105 million in cash, a year after its previous attempts to buy the entire company were rejected. The offer specifically targets the People-Ready segment, excluding its higher-growth skilled and renewable energy staffing divisions.
"We believe the on-demand business is very complimentary to our HireQuest Direct division," Richard Hermanns, CEO of HireQuest, said in a statement. "This deal could allow TrueBlue to divest of this underperforming segment and raise a substantial amount of cash that could be used to repay debt, grow and diversify its business strategically, or even make a sizeable special dividend to TrueBlue shareholders."
The $105 million all-cash proposal represents an implied value of $3.45 per share for TrueBlue stockholders, based on disclosures in TrueBlue's latest proxy statement. This follows a series of unsuccessful bids by HireQuest in 2025 to acquire the entire TrueBlue company, with offers ranging from $7.50 to $12.30 per share that were all rebuffed by TrueBlue's board.
The proposal puts pressure on TrueBlue's board to create shareholder value, offering a path to monetize a segment HireQuest describes as an "underperformer" for years. Acceptance would allow TrueBlue to unlock significant cash from a non-core asset, while another rejection may force HireQuest to reconsider a tender offer directly to shareholders, a costly action it had previously prepared for but postponed.
Renewed Pursuit
A year after first making its interest public, no deal between the two staffing companies has materialized. HireQuest is now renewing its push, framing the targeted acquisition as a "unique opportunity" for TrueBlue to generate shareholder value. The company argues its franchise model is better suited to unlock profitability in the on-demand staffing business.
HireQuest appears well-positioned to finance the transaction, with a market capitalization of $159.81 million and a current ratio of 3.15, indicating liquid assets substantially exceed short-term liabilities. The company's stock has shown strong momentum, with a year-to-date return of 11.52% and a six-month gain of 21.04% as of the announcement.
