A securities class action lawsuit has been filed against Hercules Capital Inc., alleging the venture debt provider misled investors by overstating its due diligence and copying deal sources from Google Ventures' public website.
"Hercules Capital overstated the due diligence with which it conducted its deal sourcing and/or loan origination process," the lawsuit filed by Rosen Law Firm states, citing a critical report from Hunterbrook Media.
The class period covers investors who purchased Hercules securities between May 1, 2025, and February 27, 2026. The lawsuit claims the company also misclassified portfolio investments and misrepresented its portfolio valuations, leading to investor damages when the true details emerged.
The allegations strike at the core of Hercules Capital's value proposition of proprietary deal sourcing. If proven, the case could result in significant financial damages and reputational harm, with investors facing a May 19, 2026 deadline to move the court to serve as lead plaintiff.
According to the lawsuit, defendants made false and/or misleading statements and failed to disclose that the company's deal sourcing process was not as robust as claimed. The Hunterbrook Media report, titled “The Myth of Hercules Capital,” was a key catalyst, alleging that Hercules' deal sourcing merely copied those published on Google Ventures' website.
The lawsuit further alleges that Hercules Capital overstated its portfolio valuation process and reported misclassified portfolio investments. As a result of these alleged misrepresentations, the defendants' positive statements about Hercules Capital's business, operations, and prospects were materially misleading and lacked a reasonable basis.
The lawsuit challenges the integrity of Hercules Capital's investment process, a key factor for investors in business development companies. The outcome of the case, and any potential settlement, will be closely watched as a test of the firm's transparency and deal-sourcing ethics.
