Aluminum Corporation of China (Chalco) will acquire a 51% stake in Yunnan Aluminium Logistics for RMB 264 million ($36.3 million), a strategic cash deal to consolidate its supply chain in the nation's southwest metals hub.
"The move aims to complete the logistics business layout in the southwest region and finalize the integration of all logistics operations within the group," the company said in a statement regarding the transaction.
The acquisition is a connected transaction, with the stake being purchased from Yunnan Aluminium Co., Ltd., another entity within the broader state-owned metals group. Post-transaction, Chinalco Logistics will hold the controlling 51% interest, while Yunnan Aluminium will retain a significant 49% minority stake, ensuring continued operational alignment.
This consolidation is critical for Chalco to enhance operational efficiency and reduce transportation costs for aluminum products originating from Yunnan province, a major production base. By bringing its regional logistics in-house, the state-owned giant strengthens its vertical integration, potentially improving margins and giving it a competitive edge in a region with concentrated metals and mining activity.
Strategic Consolidation
The all-cash deal, executed through a non-public agreement transfer, underscores a broader trend of state-owned enterprises in China optimizing their structures to improve profitability and market responsiveness. By gaining majority control over the logistics unit, Chalco can better manage the flow of primary aluminum and other materials from its extensive smelting operations in Yunnan.
This integration is expected to streamline the supply chain, reduce dependencies on third-party logistics providers, and create a more resilient operational footprint. The continued minority ownership by Yunnan Aluminium ensures that its own logistical needs are still met, creating a shared-interest framework for the new joint venture structure.
