AlphaTON Secures 60% of GAMEE for up to $11M

AlphaTON Capital (Nasdaq: ATON), a public company focused on scaling the Telegram ecosystem, has signed a definitive agreement to acquire a 60% controlling interest in the mobile gaming platform GAMEE from Animoca Brands. The transaction values GAMEE at $18 million, with AlphaTON set to pay up to $11 million in a performance-linked earn-out structure over two years. The deal is expected to close within 30 days.

The initial payment at closing consists of $3.5 million, comprising $1.5 million in cash and approximately $2 million in ATON shares and warrants. As part of the agreement, AlphaTON has also committed to purchasing $2 million worth of GAMEE's native GMEE token on the open market within 90 days of closing, signaling a direct investment into the platform's economy.

Acquisition Adds 119 Million Users to Telegram Strategy

The acquisition is a strategic move by AlphaTON to capture a massive and engaged user base. GAMEE boasts over 119 million registered users and more than 10 billion gameplay sessions, with a strong presence of 61 million users already integrated within Telegram. This provides AlphaTON with a significant distribution channel to advance its goal of onboarding the next billion users to Web3 through the Telegram super-app.

Concurrent with the acquisition, AlphaTON and Animoca Brands will form a strategic alliance. This partnership combines AlphaTON's access to public markets and its focus on Telegram with Animoca Brands' extensive portfolio of over 600 Web3 companies. The collaboration aims to develop new commercial opportunities at the intersection of blockchain and social gaming, leveraging Telegram's vast reach.

GAMEE Founder to Head AlphaTON's Gaming Division

Leadership continuity is a key component of the deal, with the entire GAMEE team expected to remain. Martin Zakovec will continue as CEO and Miroslav Chmelka as Co-Founder and CTO. GAMEE founder Bozena Rezab will transition to a strategic role as Head of AlphaTON Gaming, integrating the platform's original vision into the parent company's broader strategy. The market reacted positively to the news, with shares of AlphaTON (ATON) rising 6.91% to $0.37 in after-hours trading.
