"Roblox provided overwhelmingly positive statements to investors while concealing material adverse facts concerning the true state of its organic growth potential," the complaint filed by Grant & Eisenhofer in the Northern District of California alleges. The lawsuit, brought on behalf of the Police and Fire Retirement System of the City of Detroit, names Chief Executive Officer David Baszucki, CFO Naveen Chopra and former CFO Michael Guthrie as defendants.
The class period covers Oct. 30, 2025, through April 30, 2026. On Oct. 30, Roblox revealed it would roll out enhanced age verification technology globally beginning in January 2026. Shares plunged 16% that day, falling from $133.74 to $113.00, erasing $13 billion in market capitalization. Three months later, on April 30, the company slashed its bookings guidance by $1 billion, citing the new verification software's impact on daily active users. The stock dropped another 18.33%, from $55.26 to $45.13.
The lawsuits allege violations of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. The lead plaintiff deadline is Aug. 7, 2026. Rosen Law Firm, Schall Law Firm and Pomerantz LLP have also issued investor notices, with Rosen noting that the company's age verification rollout caused "a swift reduction in organic growth" as enrollment tapered and app store ratings declined.
The allegations center on statements Roblox made about platform safety and growth prospects. Ten state attorneys general had sued the company over insufficient child safety safeguards, prompting the age verification rollout that management initially downplayed as immaterial to financial performance. Roblox, which reports that 40% of its daily active users are under 12, now faces the prospect of settlement costs or adverse judgment that could compound the financial damage from its growth slowdown. Investors must decide by Aug. 7 whether to seek lead plaintiff status.
