Bleichmar Fonti & Auld filed a securities fraud class action against Hub Group after financial restatements erased 18% of its stock value.
The firm announced the lawsuit Monday, alleging Hub Group and senior executives made materially false statements about revenue recognition, purchased transportation costs, and internal controls, according to the complaint.
Hub Group disclosed Feb. 5 that its financial statements for the first three quarters of 2025 should no longer be relied upon because of an error understating purchased transportation costs and accounts payable by $77 million. Shares fell 18 percent, from $51.33 to $41.96. On May 12, the company said it identified transactions "prematurely or incorrectly recognized or not adequately supported," making its 2023 and 2024 annual reports materially misstated. Shares dropped a further 13 percent, from $41.86 to $36.62.
The complaint, filed in the U.S. District Court for the Northern District of Illinois, asserts claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. Investors have until Aug. 28 to seek appointment as lead plaintiff in the case, captioned Lawler v. Hub Group, Inc., No. 1:26-cv-07596.
Hub Group, one of the largest freight transportation providers in North America, services customers across retail, consumer products, automotive, and durable goods. The company said it is still assessing the effectiveness of its disclosure controls and internal control over financial reporting and appropriate remediation steps.
BFA, which recovered more than $900 million in value from Tesla's board and $420 million from Teva Pharmaceutical, is representing investors on a contingency basis with no cost to shareholders.
The restatements raise credibility concerns that could pressure Hub Group's stock further and invite scrutiny from the SEC, while the class action could result in significant settlement or damages against the company. Investors will watch for the company's restated filings and any update on its internal control remediation in coming quarters.
