Berger Montague PC opened a fiduciary duty investigation into ADMA Biologics' board after the biopharma's stock fell 29 percent on channel-stuffing allegations.
Berger Montague, a national plaintiffs' firm, said the probe examines whether directors breached oversight duties by permitting channel-stuffing to mask declining demand for ASCENIV, the company's flagship immune globulin treatment for primary humoral immunodeficiency in adults and adolescents.
The investigation follows a March 24 report from Culper Research alleging ADMA induced a distributor to stock excess ASCENIV through rebates and extended payment terms, allowing the company to book revenue and report 20 percent growth in 2025 when real growth was negative 3 percent. The report also alleged an undisclosed related-party distribution relationship. ADMA shares fell $2.26, or 16.6 percent, to $11.33 on the report's release, then dropped another $1.70, or 15 percent, to $9.63 the next day. A Cantor downgrade on March 26 pushed the stock down $1.34 more to $8.29, a cumulative decline of roughly 39 percent from the pre-report close of $13.59.
A securities fraud class action, Mazzarino v. ADMA Biologics, is pending in the U.S. District Court for the District of New Jersey, asserting claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 on behalf of investors in ADMA securities. Grabar Law Office has separately opened an investigation into whether ADMA officers and directors failed to maintain adequate internal controls over revenue recognition and related-party transactions. Investors who purchased ADMA shares before Aug. 9, 2024, have until Aug. 10 to seek lead plaintiff appointment.
ADMA is an end-to-end commercial biopharmaceutical company focused on manufacturing, marketing, and developing specialty biologics. The company's revenue model depends heavily on ASCENIV sales, making the channel-stuffing allegations particularly damaging to its growth narrative. ASCENIV is a liquid immune globulin solution used to treat primary humoral immunodeficiency, a condition that affects the body's ability to fight infections. If the allegations are substantiated, ADMA could face financial restatement, regulatory penalties, and additional legal costs, which would further pressure the stock.
The investigation adds to a growing list of legal challenges facing the company. Multiple plaintiffs' firms, including Bleichmar Fonti & Auld and Grabar Law Office, have opened inquiries or filed claims related to the same allegations. Shareholders will watch for any SEC inquiry and the company's response to the class action as the next developments. The lead plaintiff deadline of Aug. 10 also marks a key date for investors seeking to participate in the litigation.
